1. Acceptance of Terms

By accessing or using WorkProcedures ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

WorkProcedures is a software-as-a-service platform that enables users to create, manage, and share standard operating procedures (SOPs) using AI-powered generation tools. The Service includes features for procedure creation, workflow building, handbook compilation, team collaboration, and document export.

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 16 years old to create an account and use the Service.

4. Subscription and Payment

The Service offers both free and paid subscription plans. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase.

  • Billing: Paid subscriptions are billed in advance on a monthly or annual basis depending on your selected plan.
  • Automatic Renewal: Subscriptions automatically renew unless cancelled before the renewal date.
  • Price Changes: We may change subscription fees with 30 days' notice. Continued use after the price change constitutes acceptance.
  • Refunds: Subscription fees are non-refundable except where required by law or as stated in our refund policy.
  • Cancellation: You may cancel your subscription at any time. You will retain access until the end of your current billing period.

5. User Content

"User Content" refers to any content you create, upload, or share through the Service, including procedures, workflows, handbooks, and organization data.

  • Ownership: You retain ownership of all User Content you create. We do not claim ownership of your content.
  • License: By using the Service, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the Service.
  • Responsibility: You are solely responsible for your User Content and ensuring it does not violate any laws or third-party rights.
  • Public Sharing: When you share handbooks publicly, you grant anyone with the link permission to view that content.

6. AI-Generated Content — Mandatory Review

The Service uses artificial intelligence to generate, review, and edit standard operating procedures and related documents. AI-generated content can contain errors, omissions, or statements that are incorrect, incomplete, or unsafe for your specific circumstances. By using the Service you acknowledge and agree that:

  • Review Is Mandatory: Every procedure, document, review finding, or suggested edit produced by the Service MUST be checked, reviewed, and approved by a person who is competent and, where applicable, professionally qualified in the relevant field before it is relied upon, distributed, or put into operational use. AI output is a drafting aid, not a finished work product.
  • No Professional Advice: The Service does not provide medical, veterinary, legal, regulatory, engineering, or health-and-safety advice. Content generated for regulated, clinical, or safety-critical activities (including, without limitation, medical or veterinary procedures such as anesthesia protocols, drug dosing, machinery safety, electrical work, or food safety) must be independently validated by an appropriately qualified professional before any use.
  • No Guarantee: We make no representation or warranty that AI-generated content is accurate, complete, current, or suitable for any particular purpose, and we expressly disclaim any such warranty.
  • Your Responsibility: You are solely responsible for the procedures you adopt and for ensuring they comply with applicable laws, regulations, industry standards, and standards of professional practice. Reliance on any content produced by the Service is entirely at your own risk.
  • No Liability for Content: To the maximum extent permitted by law, WorkProcedures shall not be liable for any loss, damage, injury, death, regulatory penalty, or other consequence arising from the use of, or reliance on, AI-generated or AI-modified content, including any incorrect, incomplete, or misleading statement within it.
  • Ownership: You own the AI-generated content created through your use of the Service after you save or modify it.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use the Service for any illegal, harmful, or fraudulent purpose
  • Resell or redistribute the Service without authorization
  • Scrape, crawl, or use automated means to access the Service without permission

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by WorkProcedures and is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission. You may not copy, modify, distribute, sell, or lease any part of the Service.

9. Third-Party Services

The Service may integrate with or contain links to third-party services. We are not responsible for the content, privacy policies, or practices of third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

10. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance of the Service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WORKPROCEDURES, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless WorkProcedures and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us or using the account deletion feature.

15. Governing Law

The Service is operated by Evraday Ltd, a company based in Alford, Lincolnshire, United Kingdom, trading as WorkProcedures. These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.
